Koret Professor of Law, University of California, Berkeley. His research focuses on contract law, corporation law, and legal theory. In contract law, he has written a series of articles aimed at reconceptualizing various areas of the field. In corporation law, he has focused corporate governance. He is the author of leading casebooks in both of these fields, and was Chief Reporter of the American Law Institute's Principles of Corporate Governance. In legal theory, his work has concerned the analysis of major processes; in particular, negotiation, consultation, and common law adjudication. His recent work has emphasized the role of cognitive limits and social norms in the law.
